Terms & Conditions

These are the terms and conditions (“Terms”) of Spaces to Places Ltd trading as Office Tier List, a limited company (registration number 11936174). We are based at The Long Barn Cobham Park Road, Downside, Cobham, England, KT11 3NE (“we”, “us” or “our”).  

We are the owner and operator of Office Tier List, an online platform through which providers can list flexible office spaces and users can browse listings and contact providers directly (“Platform”). The Platform is a directory and marketing service only and does not facilitate or conclude any transactions between users and providers.  

1. Definitions 

1. In these Terms, the following terms have the following meanings: 

“Account” means a registered account on the Platform. 

“Content” means any text, graphics, images, branding, data, information or other materials made available on or via the Platform. 

“Free Listing” means a Listing made available on the Platform at no charge, which may include certain features and functionality as determined by us from time to time. 

“Listing” means a listing for an office space or workspace published on the Platform by a Provider and includes Free Listings and Verified Listings.  

“Member” means either or both Users and Providers, depending on the context. 

“Our Content” means all Content owned by or licensed to us and made available on or via the Platform (including the design, layout and functionality of the Platform), excluding User Content. 

“Provider” means any individual or business that uses the Platform to create, submit or manage a Listing (including where a Listing has not yet been published), including any Free Listing or Verified Listing. 

“User” means any individual or business that accesses or uses the Platform to browse Listings or otherwise interact with the Platform, other than as a Provider. 

“Provider Content” means any Content submitted, uploaded or otherwise made available by a Provider on or via the Platform, including in a Listing or Account. 

“Verified Listing” means a Listing designated by us as “verified” in accordance with these Terms, indicating that we have carried out a limited review of the Listing, but which does not constitute any endorsement, certification or guarantee. 

2. Use of the Platform 

1. These Terms apply to all Members (“you” or “your”) and to all Content made available on it. These Terms form a legally binding contract between you and us. By attempting to register for an Account and using the Platform, you are deemed to have accepted these Terms in their entirety. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant to us that you have legal authority to do so.  

2. If you do not accept these Terms and agree to abide by them, you must not register for an Account or use the Platform. 

3. The Platform is a directory and marketing service only. We enable providers to list and promote office spaces and users to browse listings and contact providers directly, but we do not arrange, broker or conclude any transactions. Any agreement entered into between a user and a provider is strictly between those parties. We are not a party to any such agreement and have no responsibility for its performance. We are not an estate agent, broker, agent or insurer, and we do not endorse or guarantee any Provider or Listing. We have no control over the accuracy of listings or any interactions between users and providers, whether on or off the Platform. We have no control over Listings or offline activities linked to them by Providers. Members agree that they will not act or omit to act in any way that falsely represents that they are endorsed by us, they are partnered with us, or that they act on our behalf. This includes any inappropriate use of Our Content or our intellectual property rights. 

4. All Members must be at least 18 years old to access or use the Platform, and so by accessing and using the Platform, they represent and warrant to us that they are at least 18 years old and they have capacity to enter into a legally binding contract with us. 

3. About the Platform 

1. We offer the Platform as an online directory and marketing service through which Providers can create and publish Listings and Users can browse Listings and contact Providers directly.  

2. We operate the Platform as a listing and promotional service only. We do not own, manage, or otherwise control any Listings. We do not guarantee or endorse any Listing or Provider and accept no responsibility for the accuracy, completeness or quality of any Listing or for any interactions between Users. Any verification in relation to a Verified Listing is limited in scope and does not constitute any endorsement, certification or guarantee. 

3. To the fullest extent permitted by law, we disclaim all liability in respect of Listings and Provider Content. The Platform is used, and Listings are relied upon, at your own risk. 

4. Account Registration 

1. Users may browse Listings without creating an Account. However, certain features of the Platform (including saving Listings, contacting Providers or creating and managing Listings) require an Account. 

2. If you are a Provider, you must have an Account in order to create, publish or manage a Listing on the Platform. 

3. Your Account will be created based on the information you provide during registration.  Accordingly, you represent and warrant to us that all information you provide and within your Account profile is accurate, current and complete. We reserve the right to accept or reject a request to create an Account if any specified requirements are not met. You must also update us immediately if any of the information provided upon creation of the Account is no longer accurate or up to date. 

4. We reserve the right to suspend and/or terminate any Account if we become aware that the information you provide is inaccurate, out of date, incomplete, or fraudulent, or if you have breached these Terms. 

5. You must keep your login details and any security information confidential. You are responsible for all activity carried out through your Account, whether authorised or not. You must notify us promptly if you become aware of any unauthorised access to or use of your Account. We may suspend or disable your Account if we believe its security has been compromised. 

6. We may request additional information from you at any time to verify your identity, your business or the accuracy of any Listing (including as part of any verification process). You agree to provide such information promptly. 

7. We respect your right to privacy and accordingly we will process all personal data we received in line with our privacy and cookies policy, available at Privacy Policy | Office Tier List. 

5. Listings 

1. We offer Providers the ability to list and promote office spaces on the Platform. Listings may be made available on either: 

1. a Free Listing basis; or 

2. a paid basis, including where a Listing is designated by us as a Verified Listing.  

2. Free Listings allow Providers to submit and display Listings on the Platform at no charge, with such features and functionality as we make available from time to time. 

6. Verified Listings  

1. Where a Listing is designated as a Verified Listing, this is a paid service. By requesting or purchasing a Verified Listing, you agree to pay the applicable fees notified to you at the time of purchase or as set out on the “become a verified provider” page of our Platform. All fees are exclusive of VAT (unless stated otherwise), and you are responsible for complying with any tax obligations arising from your use of the Platform and any arrangements you enter into with other Users. 

2. Unless otherwise agreed in writing: 

1. fees for Verified Listings are payable in advance and are non-refundable;  

2. any Verified Listing will apply for the period specified at the time of purchase (the “Verification Period”); and  

3. we may require renewal of the Verified Listing (and payment of further fees) in order for the Verified Listing status to continue after the end of the Verification Period. 

3. We may, from time to time, update the features, benefits and pricing of Verified Listings, provided that such changes will not affect any Verification Period already paid for.  

4. Any placement, ranking, visibility or prominence of Verified Listings on the Platform may vary and is not guaranteed. 

5. Further details regarding Verified Listings including the verification process and associated features are described on the Platform and may be updated from time to time. 

6. Where a Listing is designated as a Verified Listing, this indicates that we have carried out a limited review of the Listing and may include an on-site visit. 

7. A Verified Listing does not constitute: 

1. a guarantee of quality, suitability or performance;  

2. an endorsement or recommendation; or  

3. a certification of compliance with any standards.  

8. Verification reflects a point-in-time assessment only, and we are under no obligation to update or repeat any verification. 

7. Content 

1. We may create, edit or format Listings, including text, images and layout, for the purposes of presenting Listings on the Platform. You remain responsible for ensuring that all information in your Listing is accurate, complete and not misleading. Where we create or commission photographs or other Content for use in a Listing, we retain ownership of all intellectual property rights in that Content. We grant you a limited, non-transferable licence to use such content within your Listing on the Platform. 

2. Where we create or commission any Content for use in a Listing, that Content forms part of Our Content, and we retain all intellectual property rights in it. We grant you a limited, non-transferable, non-exclusive licence to use such Content solely within your Listing on the Platform. 

3. Where you provide us with any Provider Content (including as part of a Listing, whether a Free Listing or a Verified Listing), you grant us a non-exclusive, worldwide, royalty-free, irrevocable licence to use, reproduce, display, publish, adapt, edit, exploit and promote that Provider Content and any Listing on the Platform and in our marketing and promotional materials. We may edit, format or amend any Listing or Provider Content for presentation, consistency or compliance with the Platform. 

4. You represent and warrant that you own or have all necessary rights, licences and permissions to provide the Provider Content (including where such content is provided by you or approved by you for inclusion in a Listing) and to grant the rights set out in these Terms. 

5. You shall be responsible for any Provider Content you submit on our Platform and shall indemnify us against any losses, damages, costs or expenses arising out of or in connection with any claim that such Provider Content infringes the intellectual property rights or other rights of any third party. 

8. Provider Responsibilities  

1. As a Provider, you are responsible for all Listings you submit or that are submitted on your behalf. You represent and warrant that: 

1. you have the right to list and promote the Listing;  

2. all information in your Listing is accurate, current and complete;  

3. your Listing does not infringe the intellectual property rights or other rights of any third party; and  

4. your Listing complies with all applicable laws and regulations. 

2. You must not include in any Listing any content that is false, misleading, defamatory, offensive or otherwise inappropriate. We may remove or amend any Listing at our discretion. We may remove, suspend or modify any Listing at any time, including where we reasonably believe it breaches these Terms or may expose us or other users to risk.  

9. User Responsibilities 

1. Users are responsible for carrying out their own due diligence in relation to Listings and Providers, and for any interactions or arrangements they enter into with other Users. 

10. Member Responsibility and Acceptable Use 

1. When using the Platform, Members must not and must not enable others to: 

1. breach these Terms; 

2. use the Platform for any unlawful, fraudulent or improper purpose; 

3. as a Provider, submit any Listing or Provider Content that is inaccurate, incomplete, misleading or out of date; 

4. misuse the Platform or any Content (including Our Content), including by copying, storing or using any Content or personal data obtained via the Platform in a manner that infringes the rights of any other Member or third party; 

5. use the Platform for any purpose other than to browse Listings, connect with Providers or create and manage Listings; or 

6. falsely represent any relationship with us, including suggesting that you are endorsed by or acting on our behalf. 

2. In addition to the above, Members must not: 

1. commit any actions contrary to the Computer Misuse Act 1990; or 

2. conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to the Platform, including using (or permitting, authorising or attempting the use of): 

1. any “robot”, “bot”, “spider”, “scraper” or other automated device, program, tool, algorithm, code, process, or methodology to access, obtain, copy, monitor or republish any portion of the Platform or any data, content, information, or services accessed via the same; 

2. any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends, and correlations. 

3. copy, reproduce, adapt or exploit any part of the Platform or its Content other than as expressly permitted by these Terms. 

3. Members must comply with all applicable laws when using the Platform and must not use the Platform in any way that could damage, disable, overburden or impair our systems or interfere with other Members’ use of the Platform. 

4. Where we suspect any breach of these Terms, we may suspend or terminate any Account and/or remove or restrict access to any Listing or Content, at our discretion. 

5. If you believe that another Member has acted unlawfully or inappropriately, you should report this to us and, where appropriate, to the relevant authorities.  

11. Our Responsibility 

1. We shall provide the Platform with reasonable care and skill although we do not warrant that your use of the Platform will be uninterrupted or error-free. We represent and warrant that we have the full right, power, and authority to enter into, and perform our obligations under these Terms and that our performance will comply with all applicable laws. 

2. We do not undertake identity verification or background checks on Users or Providers. 

3. Where an event occurs that is outside our control, we will do our best to manage this. However, it may prevent us from providing certain parts of our Platform, and we will not be liable for this failure. 

12. Intellectual Property Rights 

1. We are the owner or licensee of all intellectual property rights in the Platform and in Our Content. Except as expressly permitted under these Terms, you must not: 

1. copy, reproduce or use any part of the Platform or Our Content; 

2. adapt, modify, translate or create derivative works from the Platform or Our Content; 

3. distribute, sell, licence or otherwise make the Platform or Our Content available to any third party; or 

4. reverse engineer, decompile or disassemble any part of the Platform. 

2. You must also comply with all applicable law when using the Platform and Our Content. If you breach these Terms, any right to use the Platform and Our Content will cease immediately. 

3. The licence granted in respect of Listings and Provider Content is set out in clause 7 (Content). 

4. Each Provider warrants that it owns or has all necessary rights, licences and permissions in any Listing and Provider Content and that its use by us in accordance with these Terms will not infringe the intellectual property rights or other rights of any third party. 

5. Members acknowledge that they do not acquire any intellectual property rights in the Platform or Our Content other than the limited right to use them in accordance with these Terms. 

13. Disclaimers 

1. We operate the Platform as a directory and marketing service only. We do not control or guarantee any Listings or Providers, and we are not responsible for any act or omission of any Member. 

2. While certain Listings may be designated as Verified Listings, any verification is limited in scope and does not constitute any endorsement, certification or guarantee. 

3. You are responsible for carrying out your own due diligence in relation to Listings and Providers and for any interactions or arrangements you enter into with other Members, whether on or off the Platform.  

14. Privacy 

As explained above, we will process all personal data in line with our privacy and cookies policy, available at Privacy Policy | Office Tier List. 

15. Termination 

1. These Terms shall continue to apply to Members for as long as their Account is registered on the Platform. 

2. Members may terminate their use of the Platform at any time by deleting their Account.  

3. Without prejudice to our other rights, we may: 

1. terminate your Account by giving you 30 days’ notice to the email address connected with your Account; and/or 

2. terminate your Account with immediate effect by giving you notice to the email address connected with your Account where you have materially breached these Terms, including without limitation by providing inaccurate, fraudulent or misleading information, you have infringed the rights of third parties, or if we reasonably consider it is necessary to protect the safety or property of other Members, or for fraud prevention, risk assessment, security or investigation purposes. 

4. In addition to the above, we may suspend your Account or withdraw Listings while we investigate any suspected breaches of these Terms.  

5. Under no circumstances are we liable to Members for any loss or damage that may result from any actions taken in good faith. 

16. Limitation of Liability 

1. You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Platform, services, Content and Listings, and any contact you have with other Members, whether in person or online, remains with you.  

2. Neither we nor any other party involved in creating, producing or delivering the Platform or our services shall be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with these Terms, from the use of or inability to use the Platform,  from any communications, interactions or meetings with other Members of the Platform, or other persons with whom you communicate or interact as a result of your use of the Platform, or from your Listing, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not we have been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose. 

3. Our total aggregate liability arising out of or in connection with these Terms and your use of the Platform (including any Listings or interactions with other Members) shall not exceed: 

1. where you are a Provider who has purchased a Verified Listing, the total fees paid by you to us in the 12 months preceding the event giving rise to the claim; or 

2. in all other cases, £500.  

4. Nothing in these Terms shall limit our liability for death or personal injury arising from our negligence, or for fraud, or for anything else which cannot be limited or excluded by applicable law. 

17. Indemnity 

Each Provider shall indemnify and keep indemnified us and our affiliates, officers, directors, employees and agents against any losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with (i) any breach by the Provider of these Terms; (ii) any Listing or Provider Content submitted by or on behalf of the Provider, including any claim that such Listing or Provider Content infringes the intellectual property rights or other rights of any third party; (iii) any inaccuracy, omission or misrepresentation in a Listing; or (iv) any failure by the Provider to comply with applicable laws or regulations in connection with a Listing. 

18. Links from the Platform 

Links from our Platform to other websites are for information only. We don’t control them and we don’t accept responsibility for other websites or any materials found upon them or any loss you suffer from using them. We do not endorse any such websites.  

19. General 

1. Entire Agreement: We intend to rely on the written terms set out in these Terms. These written Terms constitute the entire agreement between you and us regarding the Platform, and these Terms supersede and replace any and all prior oral or written understandings or agreements between us and you regarding the Platform. 

2. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. We may assign or transfer these Terms, at our sole discretion, without restriction. Subject to the foregoing, these Terms will bind and enure to the benefit of the parties, their successors and permitted assigns. 

3. Changes: We reserve the right to change these Terms, the Platform, our services or any fees, from time to time without prior notice. If we change these Terms, we will either post the change on the Platform, or we will contact you via your Account. We will also update the ‘Last update’ date at the start of these Terms. Your continued use of the Platform following any such changes indicates your acceptance of the new terms, and you agree to be bound by them. 

4. Conflict: Should there be any conflict between these Terms and any hosting Platform or payment gateway, these Terms shall prevail.  

5. Third Party Rights: No third parties have any rights under these Terms, and the Contracts (Rights of Third Parties) Act 1999 shall not apply. 

6. Notices: If either you or us needs to send a notice to the other, they will send it to the last email address notified to the party. Time of delivery will be the time of transmission of the email. This does not apply to the service of legal proceedings. 

7. Severance: If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any such modification or deletion shall not affect the validity and enforceability of the rest of these Terms. 

8. Waiver: No failure or delay by us in exercising any of our rights under these Terms shall be deemed to be a waiver of that right, and no waiver by us of a breach of any provision of these Terms shall be deemed to be a waiver of any subsequent breach of the same or any other provision. 

9. Governing Law and Jurisdiction: These Terms, and any non-contractual obligations arising hereunder, are governed, and construed in accordance with the laws of England and Wales, and the courts of England have exclusive jurisdiction to deal with any dispute arising hereunder.
